Step 04

Before registration it is important to choose the legal form, capital structure and activities, because legal form, ownership structure, size, activity and entity status may influence later regulatory, accounting and tax obligations. Audit requirements depend on applicable statutory criteria and entity status. Corrections after registration are possible, but slower and more costly.
Registration is only the first step. Operating requires tax registration, opening a bank account, employee registration, an accounting system, and in some activities, additional permits.
When the founder also plans to reside in Montenegro, the sequence of steps is especially important, since the company's documentation feeds into the residence procedure. That is why we plan registration, accounting and the foreign national's status together.
We handle formation together with the legal, accounting and tax team, so that after registration the company has orderly records, a defined tax status and documentation that withstands a later audit or due diligence. For foreign founders, support and communication are available in Montenegrin and English.
A limited liability company (DOO) is the most common choice for small and medium-sized businesses and for foreign investors, due to simple management and limited liability of founders. A joint-stock company is used for more complex ownership structures and capital requirements, and a branch or representative office when a foreign company does not want a separate legal entity.
A foreign individual or legal entity can be the founder of a Montenegrin company. When a foreign national acts as executive director or works in the company, residence and work status is assessed separately, depending on the role and the rules applicable at the time, because registration in the commercial register does not in itself grant a right to work. We plan both matters in parallel.
With complete and properly certified documentation, registration is in practice a quick procedure, but the total time to becoming operational depends on translation and certification of documents from abroad, tax registration and opening a bank account. The bank KYC process is often the longest step, especially for foreign ownership structures.
Tax registration, opening an account, registering the executive director and employees, setting up accounting records, and checking VAT obligations. If well-organised records are not kept from day one, the first tax calculation and the first audit reveal gaps that are more expensive to fix later.
The audit requirement does not depend on whether the company is new, but on its category and the prescribed thresholds, or its status as a public-interest entity. When planning the structure, we highlight when this obligation may arise, so that records are prepared for audit from the start.
